These Terms and Conditions apply to all visitors, clients, and others who access or use our website and services.
2. Services
Outstep Technologies provides software development services including, but not limited to, frontend development, backend development, mobile application development, AI development, and automation services.
The specific scope, deliverables, timelines, and pricing for any engagement are defined in a separate Statement of Work (SOW) or service agreement entered into between Outstep Technologies and the client. In the event of any conflict between these Terms and Conditions and a specific service agreement, the terms of the service agreement shall prevail.
3. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in work created by Outstep Technologies prior to or independently of a client engagement (including frameworks, libraries, tools, and methodologies) remain the exclusive property of Outstep Technologies.
Upon receipt of full payment, Outstep Technologies assigns to the client all intellectual property rights in the custom deliverables created specifically for that client under the relevant service agreement, to the extent permitted by law.
All content on this website — including text, graphics, logos, and images — is the property of Outstep Technologies and is protected by applicable copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our express written permission.
4. Client Responsibilities
Clients are responsible for providing accurate, complete, and timely information, materials, and feedback required for the delivery of services. Delays caused by the client's failure to provide required inputs may result in project timeline adjustments.
Clients warrant that any materials, content, or third-party assets they provide to Outstep Technologies for use in a project do not infringe upon the intellectual property rights of any third party.
5. Payment Terms
Payment terms, including amounts, schedules, and methods, are specified in the relevant service agreement. Unless otherwise agreed, invoices are due within 14 days of issuance.
Outstep Technologies reserves the right to pause or suspend work on any project where payment is overdue until the outstanding balance is settled.
6. Confidentiality
Both parties agree to keep confidential any non-public, proprietary, or sensitive information shared during the course of an engagement. This obligation survives the termination of any service agreement.
Outstep Technologies may reference the name and general nature of a project in its portfolio or marketing materials unless the client requests otherwise in writing.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Outstep Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising in connection with our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim in the three months preceding the event.
8. Warranties and Disclaimers
Our website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
We make reasonable efforts to ensure that development work meets agreed-upon specifications and quality standards, but we do not guarantee that any software will be entirely free of defects.
9. Third-Party Links and Services
Our website may contain links to third-party websites or services that are not owned or controlled by Outstep Technologies. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites.

10. Termination
Either party may terminate a service engagement in accordance with the termination provisions set out in the applicable service agreement. In the absence of a specific agreement, either party may terminate by providing 30 days' written notice.
Upon termination, the client shall pay for all work completed up to the termination date. Outstep Technologies will deliver all completed work product upon receipt of final payment.
11. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with applicable laws. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts, unless otherwise agreed in writing.
12. Changes to These Terms
We reserve the right to update or modify these Terms and Conditions at any time. Changes will be effective upon posting to this page, with the "Last Updated" date revised accordingly. Your continued use of our website or services after any such changes constitutes your acceptance of the new terms.
